Terms & Conditions
These Terms & Conditions govern all design, production and consulting engagements undertaken by Soft N Tech. By commissioning a project, approving a quotation or otherwise collaborating with us, you acknowledge that you have read, understood and agree to these terms.
2. Services & Scope
Our services cover branding, print, digital campaigns, publications and allied creative production. Each assignment is scoped through a written proposal that outlines deliverables, timelines, pricing and supporting assumptions. Work beyond the agreed scope will be quoted separately and begins only once the revised proposal is approved.
3. Briefing, Approvals & Assets
We rely on accurate briefs, content and brand assets provided by the client. To maintain schedules, please share feedback within the review window indicated on the project plan. Approvals granted via email, project tools or signed documents are treated as final authorisation to move forward with design development, production or delivery.
4. Fees, Invoicing & Payment
All fees are presented in the official quotation. Unless otherwise agreed, projects begin after receipt of the advance invoice (typically 50%). Subsequent invoices are raised against milestones or completion of deliverables. Payments are due within the timeline stated on the invoice. Delayed payments may pause work and attract interest as permitted under applicable law.
5. Revisions & Change Requests
Each deliverable includes the revision rounds specified in the quotation. Additional iterations, format changes or brand adaptations requested after those rounds are considered change requests and billed separately. We will share a revised timeline where required.
6. Intellectual Property
Soft N Tech retains ownership of all preliminary works, concepts, source files and intellectual property until invoices are settled in full. Upon complete payment the final, approved assets are assigned to you for the agreed usage. Any stock photography, fonts or third-party licenses procured during the project remain subject to their respective licensing terms.
7. Client Responsibilities
To ensure smooth delivery, clients agree to:
- Provide timely access to decision makers, brand guidelines and content
- Secure all required internal or third-party approvals before release
- Ensure submitted materials do not infringe any intellectual property or rights
- Review and sign off on proofs, colour swatches or prototypes prior to production
8. Cancellations & Termination
Either party may terminate the project with written notice if the other party materially breaches these terms and fails to remedy the breach within a reasonable period. Should the client cancel a project after commencement, all completed work, expenses and scheduled hours already committed become payable immediately. 9. Limitation of Liability
Soft N Tech will not be liable for indirect, incidental or consequential damages, loss of profits, reputation or data arising from the use of the deliverables. Our aggregate liability is limited to the total amount paid to Soft N Tech for the specific project that gave rise to the claim.
10. Governing Law & Dispute Resolution
These terms are governed by the laws of India. Any dispute that cannot be resolved through good-faith discussions shall be submitted to the competent courts located in Guwahati, Assam.
11. Updates to These Terms
We review these Terms & Conditions periodically to reflect process improvements and regulatory changes. Updated versions will be published on this page with a revised "Last updated" date. Continued engagement after updates constitutes acceptance of the revised terms.
